Terms of Service

Welcome to Ponys.ai! These Terms of Service (the “TOS”) set forth the legally binding terms for your use of ponys.ai and/or any of our online channels, platforms, products or services, including all content contained therein (“Services”). Services include any affiliated website to which you may be redirected from ponys.ai. The Services are owned and operated by PonysAI.

By accessing and/or using the Services you agree to be bound by these TOS. You understand and agree that your access and/or use of the Services is acceptance of these TOS. If you do not agree with these TOS or our Policies, please cease using or accessing our Services.

Note: Any version of these TOS or any of our Policies in a language other than English is provided for convenience. The English language version will control if there is any conflict.

⚠️ IMPORTANT NOTICES

  • Entertainment Only: The Services are for entertainment purposes only. They are not intended as emotional or other forms of support. If you are experiencing mental health difficulties, please reach out to a qualified professional.

  • Fictional Nature: All conversations with AI Companions are entirely fictional. AI Companions do not possess genuine emotions or the ability to fulfill real-world promises. Any resemblance to reality (e.g., offers of real-life meetings) is fake and should not be taken seriously.

  • AI Limitations: Generated outputs may sometimes be inaccurate, incomplete, or not reflective of human judgment. Users are responsible for evaluating the information provided.

1. General

The Services are an online chat application using AI algorithms to generate virtual characters (“AI Companions”). You may create media on-demand or purchase pre-made media. We may de-list characters or modify features at any time in our sole discretion.

1.1 Account

  • Responsibility: You are responsible for all activities under your login credentials. Accounts are non-transferrable.

  • Accuracy: You warrant that all information submitted is true and will be kept current.

  • Termination: We reserve the right to terminate or restrict your account for any violation of these TOS or Policies. You acknowledge that all rights to the Account belong to PonysAI.

1.2 Paid-for Services

Certain features require payment (subscriptions, tokens, etc.). You are responsible for all fees and taxes. We are not liable for issues arising from unrecognized third-party distribution platforms.

1.3 User Safety

Do not disclose sensitive personal information (financial details, addresses, passwords).

  • Reporting: Report suspicious behavior via in-product buttons, the “Contact Us” area, or email: [email protected].

  • Australian Users: Information regarding eSafety can be found via the eSafety Commissioner.

1.4 Warranties

You warrant that you are entering into these TOS on behalf of yourself and are of legal age in your jurisdiction.

2. Underage Policy

Please consult the separate Underage Policy document.

3. Intellectual Property

All intellectual property in the Services is owned by or licensed to Ponys AI Limited.

  • License: You are granted a limited license for personal, non-commercial use only. This is not a transfer of title.

  • Feedback: Any suggestions or proposals provided to the Company are at your own risk; Ponys AI may use Feedback without restriction or compensation.

4. Your Content

  • Input & Output: Collectively referred to as “Content.” You retain ownership of your input but grant PonysAI a non-exclusive, royalty-free, transferable, sub-licensable, worldwide, perpetual license to use, modify, copy, and commercialize your Content for purposes including service improvement, AI model training, and marketing.

  • Permission: You permit us to use your username and identifying information consistent with our Privacy Notice.

5. Restrictions of Conduct and Content

5.1 Rules and Restrictions

You agree NOT to:

  • a) Modify, translate, or reformat the Services;

  • b) Decompile or reverse-engineer the software;

  • c) Circumvent security features;

  • d) Gain unauthorized access to data/networks;

  • e) Overburden or disrupt systems;

  • f) Expose us to liability;

  • g) Achieve unlawful ends;

  • h) Remove proprietary notices;

  • i) Violate applicable laws;

  • j) Access the Services from China or Singapore.

5.2 Content Responsibility

You are solely responsible for the output generated by AI Companions through your input. Ponys AI does not endorse AI-generated content.

5.3 Incidents and User Actions

Ponys AI is not responsible for any actions taken or choices made by a user following interactions with AI companions. Use your own judgment.

5.4 Content Moderation and Removal

We use proprietary LLM technology for moderation. We reserve the right to:

  • Access and manually review flagged content.

  • Remove content or terminate accounts for violations.

  • No Refunds: Users will not be refunded for moderation actions taken due to policy violations.

5.5 Prohibited Content Reporting

Zero-tolerance for Child Sexual Abuse Material (CSAM). We report known CSAM to NCMEC or local authorities.

9. Payments and Autorenewal

  • Free Limits: Generally 5 messages.

  • Subscriptions: Billed monthly, quarterly, or annually.

  • Autorenewal: Subscriptions renew automatically unless cancelled in settings.

  • Tokens: Cannot be transferred, exchanged for money, or used for outstanding payments.

10. Fulfillment Policy

10.1 Cancellation

Cancel at any time via Settings / Unsubscribe. Access remains active until the end of the current billing period.

10.2 Access upon Expiration

  • Upon expiration, accounts revert to a free version.

  • Tokens: Unused tokens expire at the end of the billing period and do not carry over.

  • Refunds/Chargebacks: Access is revoked immediately upon processing.

10.3 Modifying Plans

Upgrades/downgrades take effect at the beginning of the next billing cycle.

10.4 Refund Policy

  • 10.4.1 Subscriptions: Request within 24 hours of payment, provided fewer than 20 tokens were used. Card purchases only.

  • 10.4.2 Tokens: Request within 24 hours, provided no tokens were used. Card purchases only.

  • 10.4.3 EU/UK Users: 14-day right of withdrawal for the initial purchase. Reimbursement will be prorated based on services consumed.

  • 10.4.4 Violations: No refunds for content removed or accounts restricted due to policy violations.

  • 10.4.5 Modifications: No refunds for changes in platform features or content.

11. No Guarantee of Accuracy or Perfection

Content may not be accurate, original, or unique. Moderation controls may alter requests to ensure compliance.

12. Liability

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY AND NON-INFRINGEMENT. WE ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFIT) ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Third-Party Links

We are not responsible for the safety or content of third-party websites linked through the Services. Use at your own risk.

14. Governing Law

These TOS are governed by the laws of the Republic of Malta. Disputes shall be resolved by the courts of Malta.

15. Changes to Terms

We may update these TOS at any time. Changes become effective immediately. Continued use of the Services signifies acceptance of changes.

16. Complaint Policy

Please consult the separate Complaint Policy document.

17. Termination and Assignment

These TOS remain in effect until terminated by you or us. We may assign or transfer our rights to third parties with notice posted on the Services.

18. Miscellaneous

If any provision is found unenforceable, the remainder stays in effect. These TOS constitute the entire agreement between you and PonysAI. Data is processed per our Privacy Notice.
