Affiliate Terms & Conditions

These Affiliate Program Terms & Conditions (“Terms”) govern participation in the Ponys.ai Affiliate Program (“Program”).

The Program is operated by LAIGLE INC, a company organized under the laws of the State of Wyoming, United States (“Ponys.ai,” “Ponys,” “we,” “us,” or “our”).

By applying to, accessing, or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to these Terms.

1. Eligibility and Acceptance

To participate in the Program, you represent and warrant that:

  • You are at least 18 years old and legally capable of entering into a binding agreement.

  • All information submitted to Ponys.ai is true, accurate, complete, and current.

  • You are responsible for all activity conducted through your Affiliate account.

  • You will comply with all applicable laws, regulations, advertising standards, privacy requirements, and these Terms.

  • You will only promote Ponys.ai in jurisdictions where your promotional activities and the applicable content are lawful.

  • You will not knowingly market Ponys.ai to minors.

Participation in the Program is subject to approval by Ponys.ai. We may approve or reject an application in our reasonable discretion.

2. Standard Commission Structure

Unless otherwise agreed in writing, eligible Affiliates may earn up to 50% Revenue Share (“RevShare”) on qualifying payments made by properly referred users.

The specific commission rate applicable to an Affiliate will be the rate displayed in the Affiliate Dashboard or otherwise confirmed by Ponys.ai in writing.

Commission rates may vary based on factors including traffic source, GEO, volume, performance, promotional method, partnership type, and individually negotiated commercial terms.

Qualifying Payments

Subject to these Terms, RevShare may apply to qualifying payments actually received by Ponys.ai from an attributed referred user, including:

  • Initial subscription payments;

  • Subscription renewals;

  • Initial Token purchases;

  • Subsequent Token purchases or recharges; and

  • Other eligible paid products or services designated by Ponys.ai.

Free registrations, free usage, promotional credits, unsuccessful payments, or other non-revenue activities do not generate RevShare unless separately agreed in writing.

3. Net Revenue

Unless separate commercial terms provide otherwise, commissions are calculated based on Net Revenue.

“Net Revenue” means amounts actually paid by and received from qualifying referred users, excluding:

  • Refunds;

  • Chargebacks;

  • Reversed or cancelled transactions;

  • Fraudulent or unauthorized transactions; and

  • Sales, VAT, GST, or similar taxes collected from customers and required to be remitted to a governmental authority.

For purposes of the standard RevShare Program, ordinary payment processing fees charged to Ponys.ai are not deducted from Net Revenue.

4. Lifetime Revenue Share

The standard RevShare Program operates on a customer-lifetime basis.

Once a referred customer is validly attributed to an Affiliate and completes a qualifying payment, qualifying future payments from that customer may continue generating commissions for the Affiliate for the lifetime of that customer relationship, provided that:

  • The Affiliate account remains active and in good standing;

  • The Affiliate continues to comply with these Terms;

  • The customer remains validly attributed to that Affiliate; and

  • No separate commercial agreement provides otherwise.

“Lifetime” refers to the duration of the qualifying customer's relationship with Ponys.ai while the Affiliate remains eligible under the Program. It does not mean the lifetime of the Affiliate as an individual or entity, nor does it create a perpetual payment obligation after termination of the Affiliate account.

5. Attribution

Unless otherwise agreed in writing, the standard attribution period is 30 days.

A user who clicks an eligible Affiliate tracking link may be attributed to that Affiliate if the user's first qualifying payment occurs within thirty (30) days after the qualifying click.

Last-Click Attribution

Ponys.ai uses a last qualifying Affiliate click attribution model for the customer's initial conversion unless otherwise agreed.

If a customer clicks valid tracking links from multiple Affiliates before making the customer's first qualifying payment, the last valid Affiliate click recorded by Ponys.ai before that payment will generally receive attribution.

Once a customer completes the first qualifying payment and attribution has been established, that customer will normally remain attributed to the applicable Affiliate for purposes of customer-lifetime RevShare.

Attribution may be modified or rejected where Ponys.ai reasonably determines that fraud, cookie stuffing, forced clicks, tracking manipulation, self-referral, technical error, or another violation has occurred.

Ponys.ai's tracking and transaction records will be used to determine attribution and commissions, subject to correction in the event of a demonstrated technical or reporting error.

6. Custom CPA, CPS, Hybrid, and Other Commercial Terms

Certain Affiliates, publishers, media partners, agencies, or affiliate networks may operate under separately negotiated commercial terms.

Such arrangements may include:

  • CPA;

  • CPS;

  • CPL;

  • Fixed-fee arrangements;

  • Hybrid models;

  • Custom RevShare rates;

  • GEO-specific payouts;

  • Volume bonuses; or

  • Other performance-based arrangements.

Where Ponys.ai and an Affiliate enter into a separate written agreement, insertion order, offer sheet, email confirmation, dashboard offer, or other approved commercial arrangement, those specific terms will control over these standard Terms to the extent of any conflict.

For example, a CPA arrangement may define a commissionable action as a First Paid Purchase, in which case registrations alone would not generate a CPA payment unless specifically stated otherwise.

7. Refunds, Chargebacks, Fraud, and Reversals

Commissions are earned only on valid qualifying transactions.

No commission is payable on:

  • Refunded transactions;

  • Chargebacks;

  • Fraudulent transactions;

  • Unauthorized payments;

  • Duplicate transactions;

  • Artificially generated transactions; or

  • Transactions otherwise determined to be invalid.

If a commission has already been credited or paid and the underlying transaction is later refunded, charged back, reversed, or determined to be fraudulent or invalid, Ponys.ai may reverse the commission.

Where the commission has already been paid to the Affiliate, Ponys.ai may deduct the corresponding amount from future Affiliate commissions or balances.

If no future balance is available, Ponys.ai reserves the right to request repayment where reasonably appropriate.

8. Payment Terms

Unless separate commercial terms state otherwise:

  • Each billing period consists of one full calendar month.

  • Eligible Affiliate commissions are paid on a NET15 basis following the end of the applicable billing period.

  • The minimum payout threshold is USD $50.

  • Balances below the minimum threshold will roll forward to the next billing period until the threshold is reached.

  • Available payout methods may include PayPal, cryptocurrency, wire transfer, or other methods made available by Ponys.ai.

  • Affiliates must provide accurate and complete payout information before payment can be processed.

  • Ponys.ai may require tax, identity, address, business, or payment verification information where reasonably necessary for payment, compliance, fraud prevention, or legal purposes.

Affiliates are responsible for maintaining accurate payout details.

Ponys.ai is not responsible for delays resulting from incorrect payment information, compliance reviews, banking delays, blockchain congestion, payment-provider restrictions, or circumstances outside Ponys.ai's reasonable control.

9. Taxes

Affiliates are solely responsible for determining and satisfying their own tax obligations arising from commissions earned under the Program.

Ponys.ai may request tax documentation, including applicable IRS forms such as Form W-9 or Form W-8 series forms, or equivalent documentation required by applicable law.

Ponys.ai may withhold taxes where legally required.

10. Affiliate Disclosure, Reviews, and Endorsements

Affiliates must comply with all applicable advertising, endorsement, influencer, review, and consumer-protection laws and regulations.

Where required, Affiliates must clearly and conspicuously disclose their financial or other material relationship with Ponys.ai.

This requirement applies to promotional content including:

  • Reviews;

  • Comparison articles;

  • Rankings;

  • “Best AI Companion” or similar lists;

  • Social media posts;

  • Videos;

  • Livestreams;

  • Influencer content;

  • Promotional emails; and

  • Other endorsements or recommendations.

Where appropriate, a disclosure may state, for example:

“This post contains affiliate links. I may earn a commission if you purchase through these links.”

The disclosure must be reasonably easy for consumers to notice and understand and should appear sufficiently close to the applicable endorsement or Affiliate link.

Affiliates receiving complimentary or discounted product access, paid sponsorships, special commissions, or other benefits must disclose such relationships where required by applicable law.

Affiliates may provide independent, genuine, and honest opinions regarding Ponys.ai.

Ponys.ai does not require positive reviews as a condition of receiving Affiliate commissions, complimentary review access, or other Affiliate benefits.

Affiliates may criticize or negatively review Ponys.ai based on their genuine experience. However, Affiliates may not knowingly publish:

  • False statements;

  • Fabricated experiences;

  • Fake reviews;

  • Materially misleading claims;

  • Defamatory statements presented as false facts;

  • Claims inconsistent with the Affiliate's actual experience; or

  • Claims requiring substantiation that the Affiliate does not possess.

11. Prohibited Promotional Methods

All Affiliate marketing must be lawful, transparent, and conducted in good faith.

The following practices are prohibited unless Ponys.ai expressly approves them in writing.

11.1 Brand Bidding

Affiliates may not bid on:

  • “Ponys”;

  • “Ponys.ai”;

  • Misspellings or variations of the Ponys brand;

  • Ponys trademarks; or

  • Other protected Ponys brand terms

through Google Ads, Bing Ads, or other paid-search platforms.

Affiliates may not use Ponys trademarks in paid-search display URLs or ad copy in a manner that falsely suggests that the Affiliate is Ponys.ai.

11.2 Self-Referrals

Affiliates may not generate commissions from their own purchases or create or control additional accounts for the purpose of generating Affiliate commissions.

Transactions involving related accounts, payment methods, devices, identities, or other circumstances indicating artificial self-referral may be rejected.

11.3 Incentivized Traffic

Unless specifically authorized in writing, Affiliates may not offer:

  • Cashback;

  • Cash rewards;

  • Points;

  • Gifts;

  • Credits;

  • Rebates; or

  • Other incentives

in exchange for clicking an Affiliate link, registering, subscribing, or making a purchase.

11.4 Fraudulent or Artificial Traffic

The following are prohibited:

  • Bots;

  • Automated traffic;

  • Fake users;

  • Fake registrations;

  • Fake purchases;

  • Click fraud;

  • Conversion fraud;

  • Cookie stuffing;

  • Forced clicks;

  • Hidden iframes;

  • Pixel stuffing;

  • Tracking manipulation;

  • Automated refresh traffic;

  • Adware;

  • Malware; or

  • Any artificial method intended to generate commissions.

11.5 Unauthorized Sub-Affiliates

Affiliates may not distribute Ponys.ai offers through sub-affiliate networks or other third-party publishers without prior written approval from Ponys.ai.

Approved Affiliate networks are responsible for the conduct and compliance of their sub-affiliates where applicable.

11.6 Spam and Unsolicited Marketing

Affiliates may not promote Ponys.ai through unlawful or unsolicited spam.

Email, SMS, messaging, or other direct marketing must comply with applicable laws, including consent, identification, opt-out, and suppression requirements.

11.7 Misleading Advertising

Affiliates may not:

  • Misrepresent Ponys.ai's features;

  • Advertise false prices or discounts;

  • Promise features or results that Ponys.ai does not provide;

  • Use fake testimonials;

  • Fabricate endorsements;

  • Impersonate Ponys.ai;

  • Suggest an official relationship that does not exist; or

  • Use deceptive redirects, fake system messages, fake notifications, or other misleading promotional techniques.

11.8 Intellectual Property Infringement

Affiliate marketing must not infringe or misappropriate third-party copyrights, trademarks, publicity rights, privacy rights, or other intellectual property rights.

Affiliates may not scrape, reproduce, or distribute third-party copyrighted materials without authorization.

11.9 Unlawful or Harmful Content

Affiliates may not promote Ponys.ai through properties or campaigns that contain, promote, solicit, or facilitate:

  • Child sexual abuse or exploitation;

  • Sexualized depictions or descriptions of minors;

  • Content designed to sexualize minors;

  • Non-consensual intimate imagery;

  • Non-consensual sexual content;

  • Deceptive or unauthorized intimate impersonation of real persons;

  • Illegal trafficking or exploitation;

  • Hate-based unlawful content;

  • Malware or criminal activity; or

  • Other content prohibited by applicable law.

Affiliates may not use terminology, imagery, or targeting designed to imply that any sexualized person is under 18.

11.10 Marketing to Minors

Affiliate marketing for Ponys.ai must not be directed toward children or minors.

Where adult-oriented content is promoted, Affiliates must comply with applicable age-restriction and age-verification requirements.

12. Traffic Sources and Compliance Reviews

Ponys.ai may request reasonable information concerning an Affiliate's:

  • Traffic sources;

  • Websites;

  • Social media accounts;

  • Advertising accounts;

  • Landing pages;

  • Sub-affiliates;

  • Creatives;

  • GEOs; or

  • Promotional methods.

Affiliates agree to reasonably cooperate with compliance or fraud reviews.

Ponys.ai may temporarily withhold disputed commissions while investigating suspected fraud, chargebacks, prohibited traffic, or material violations.

A temporary hold does not by itself constitute forfeiture.

13. Brand Assets and Creatives

Ponys.ai may provide approved logos, images, banners, videos, copy, promotional materials, discount codes, and other brand assets (“Program Materials”).

Ponys.ai grants Affiliates a limited, revocable, non-exclusive, non-transferable license to use approved Program Materials solely for promoting Ponys.ai under the Program.

Affiliates may not:

  • Claim ownership of Ponys.ai trademarks or assets;

  • Register domain names or social media accounts confusingly similar to Ponys.ai;

  • Materially alter official creatives in a misleading manner;

  • Imply that an Affiliate website is owned or operated by Ponys.ai; or

  • Use Ponys.ai intellectual property after termination of participation in the Program.

Ponys.ai may require the removal or modification of promotional materials that violate these Terms or applicable law.

14. Confidentiality

The publicly advertised standard Program commission, including statements such as “up to 50% RevShare,” is not confidential.

However, an Affiliate must not disclose non-public information received from Ponys.ai, including:

  • Individually negotiated commission rates;

  • Private bonuses;

  • Custom CPA or CPS payouts;

  • Confidential conversion data;

  • Non-public business information;

  • Internal reports;

  • Non-public product information; or

  • Information specifically identified as confidential.

Nothing in this section prevents an Affiliate from making disclosures required by law, including disclosure of the existence of an Affiliate or paid relationship.

15. Termination

Either party may end the Affiliate relationship.

Ponys.ai may suspend or terminate an Affiliate account where the Affiliate:

  • Violates these Terms;

  • Engages in fraud or attempted fraud;

  • Generates invalid or artificial traffic;

  • Violates applicable law;

  • Creates material legal or reputational risk;

  • Fails to provide reasonably requested compliance information; or

  • Otherwise materially abuses the Program.

Ponys.ai may immediately suspend an account while investigating suspected fraud, chargebacks, unlawful conduct, or serious violations.

Effect of Termination

Except in cases involving fraud, chargebacks, serious violations, or invalid transactions:

  • Valid commissions earned and validated before termination remain payable in accordance with these Terms.

  • No new commissions will accrue after termination of the Affiliate account.

  • Future payments made by previously referred customers after termination will not generate new commissions.

Termination therefore ends the Affiliate's entitlement to future customer-lifetime RevShare.

Fraud, Chargebacks, and Serious Violations

Where termination results from fraud, intentional tracking manipulation, artificial transactions, unlawful conduct, material deception, or another serious violation, Ponys.ai may:

  • Reject affected conversions;

  • Reverse affected commissions;

  • Withhold amounts reasonably connected to the violation;

  • Offset previously paid invalid commissions against future amounts otherwise payable; and

  • Where permitted by law and reasonably justified by the circumstances, forfeit unpaid commissions attributable to the serious violation.

Ponys.ai will not automatically forfeit unrelated, valid, previously earned commissions solely because an Affiliate relationship ends.

16. Program Changes

Ponys.ai may modify the Program, commission structure, available markets, promotional rules, or these Terms from time to time.

Material changes will be communicated through reasonable means, which may include email, the Affiliate Dashboard, or publication of revised Terms.

Changes to standard commission rates will generally apply prospectively.

Changes required to address legal, regulatory, fraud, security, abuse, or payment-processing risks may take effect immediately where reasonably necessary.

Continued participation after revised Terms become effective constitutes acceptance of the revised Terms.

17. Independent Contractor Relationship

The Affiliate participates in the Program as an independent contractor.

Nothing in these Terms creates any:

  • Employment relationship;

  • Partnership;

  • Joint venture;

  • Franchise;

  • Agency relationship; or

  • Fiduciary relationship

between the Affiliate and Ponys.ai.

Affiliates have no authority to enter into agreements, incur obligations, make representations, or otherwise act on behalf of Ponys.ai.

18. Indemnification

To the extent permitted by applicable law, the Affiliate agrees to indemnify, defend, and hold harmless LAIGLE INC, Ponys.ai, and their respective officers, directors, employees, contractors, agents, service providers, and affiliates from third-party claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of or relating to:

  • The Affiliate's promotional activities;

  • The Affiliate's breach of these Terms;

  • The Affiliate's violation of applicable law;

  • The Affiliate's infringement of third-party rights;

  • Misleading or unlawful advertising created or distributed by the Affiliate; or

  • Acts or omissions of approved sub-affiliates for which the Affiliate is responsible.

Ponys.ai will provide reasonable notice of covered claims and reasonable cooperation in the defense where practicable.

The Affiliate may not enter into a settlement that imposes liability, obligations, admissions, or restrictions on Ponys.ai without Ponys.ai's prior written consent.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROGRAM, AFFILIATE DASHBOARD, TRACKING SYSTEMS, PROGRAM MATERIALS, PRODUCTS, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PONYS.AI MAKES NO GUARANTEE REGARDING:

  • Affiliate earnings;

  • Traffic volume;

  • Conversion rates;

  • Customer retention;

  • Availability of any particular commission rate;

  • Availability of any particular GEO or offer; or

  • Uninterrupted operation of Affiliate tracking systems.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PONYS.AI DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF THE PROGRAM, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THEIR POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PONYS.AI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM WILL NOT EXCEED THE TOTAL VALID COMMISSIONS EARNED BY THE APPLICABLE AFFILIATE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

21. Data Protection and Privacy

Affiliates must comply with applicable privacy, data-protection, cookie, and electronic-marketing laws in connection with their participation in the Program.

Affiliates are responsible for providing any legally required privacy notices and obtaining legally required consent for their own websites, tracking technologies, marketing systems, or databases.

Personal information provided to Ponys.ai in connection with the Affiliate Program may be used for:

  • Program administration;

  • Affiliate tracking;

  • Payment processing;

  • Tax reporting;

  • Fraud prevention;

  • Compliance;

  • Communications; and

  • Other legitimate Program-related purposes

in accordance with applicable law and the Ponys.ai Privacy Policy.

22. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Affiliate Program will be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

To the extent permitted by applicable law, the parties consent to the exclusive jurisdiction of the state and federal courts of competent jurisdiction located in the State of Wyoming for disputes arising out of or relating to these Terms or the Program.

Each party waives any objection based on inconvenient forum to the extent such waiver is permitted by applicable law.

23. Assignment

Affiliates may not assign, transfer, delegate, sell, or otherwise transfer their Program account or rights under these Terms without Ponys.ai's prior written consent.

Ponys.ai may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, financing, or transfer of the Program or related business.

24. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

25. Waiver

Failure by Ponys.ai to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

Any waiver must be expressly made in writing by an authorized representative of Ponys.ai.

26. Entire Agreement and Order of Precedence

These Terms constitute the standard agreement governing participation in the Ponys.ai Affiliate Program.

Any separately agreed written commercial terms, insertion orders, offer sheets, approved dashboard offers, or written partnership agreements form part of the Affiliate relationship.

If separately agreed commercial terms conflict with these Terms, the separately agreed terms will control with respect to the specific commercial issue covered by those terms.

27. Electronic Acceptance

Participation in the Affiliate Program, including clicking an acceptance button, applying to the Program, using an Affiliate tracking link, or continuing to participate after approval, constitutes electronic acceptance of these Terms to the extent permitted by applicable law.
